Dark Horse acquired by gaming company Embracer

As rumors of acquisition had swirled of late, today it was announced that European gaming company Embracer will acquire Dark Horse, the third largest comics publisher in North America. Terms of the deal were not announced; the deal will go through in 2022.

The purchase includes the publishing arm Dark Horse Comics, media arm Dark Horse Entertainment and retail chain Things From Another World.

Sweden-based Embracer purchased 80% of the company from “a seller based in Hong Kong and China” which would mostly likely be Vanguard Visionary Associates. The remaining 20% of the company was purchased from Dark Horse founder and publisher Mike Richardson, who will remain at the head of the company.

The buyer is a holding company that has nine other “operating groups” including gaming companies THQ Nordic, Saber Interactive, Deep Silver, and Koch Media. They have been on a buying spree of late and recently acquired the prominent board game company Asmodee, with a rumored purchase price of nearly $3 billion.

While news of any acquisition can conjure visions of new methods and layoffs, Embracer’s business model is to allow its units to operate fairly independently, so Dark Horse should see little immediate change when the deal goes through. In a statement, Richardson expressed enthusiasm for the deal:

The synergies that exist with the Embracer network of companies  promises exciting new opportunities not only for Dark Horse, but also for the creators and companies we work with. Although Dark Horse has traditionally been a home for independent comics creators, and it’s listed as owning more than 300 IPs, in recent years their biggest sellers were gaming art books. Obviously there is a huge potential tie-in there between all the gaming brands Embracer now controls – and tons of other synergies.

In the calendar year 2021 Dark Horse will generate net sales of approximately SEK 900 million with operational EBIT of approximately SEK 130 million. Dark Horse is forecasted to generate operational EBIT of SEK 140-180 in FY22/23 and SEK 170-200 million in FY 23/24. These figures excludes any commercial synergies or planned M&A.

Purchase price

Due to commercial reasons the specific transaction terms are not disclosed. The transaction will be accretive to adjusted earnings per share.

80 percent of the shares of Dark Horse will be acquired from a seller based in Hong Kong and China. The remaining 20 percent of the shares will be acquired from founder and CEO, Mike Richardson and COO Neil Hankerson. Both are committed to stay within the company. Post completion of the acquisition business will remain as usual and there is no planned restructuring.

Completion of transaction

The transaction is subject to certain closing conditions, including merger control approval, and is estimated to be completed early 2022.

  1. This makes me incredibly nervous for the future of Dark Horse. Granted I am basing this on my own, anecdotal, experience. I’ve worked for two “cool” companies that were absorbed by larger conglomerates and then the “cool” companies and their people were disappeared once the conglomerates had siphoned off all the IP. I give it a year before the first round of layoffs. I hope I’m wrong.
